1. The agreement
These terms form an agreement between Annual Leaf (“Annual Leaf”, “we” or “us”) and the organisation using the service (“Customer”). If you create a workspace for a Customer, you confirm that you have authority to accept these terms for it. Each invited user must also follow these terms.
Annual Leafhello@annualleaf.com2. The service
Annual Leaf provides tools for managing employee holiday records, allowances, requests, approvals, public holidays, notifications and optional calendar integrations. The Customer remains responsible for its employment policies, staffing decisions, payroll and compliance with employment law. Annual Leaf does not provide legal, tax, payroll or human-resources advice.
3. Accounts and acceptable use
You must provide accurate account information, keep credentials confidential and tell us promptly about suspected unauthorised access. You must not misuse the service, attempt to bypass access controls, introduce malicious code, interfere with other users, scrape the service, or use it unlawfully or to infringe another person’s rights.
The Customer is responsible for its authorised users, workspace configuration and ensuring it has a lawful basis to enter and use employee information.
4. Customer data
The Customer retains its rights in information it submits to Annual Leaf. It permits us to host, copy and process that information only as needed to provide, secure and support the service and meet our legal obligations. The Customer must not submit information it has no right to use.
Where we process personal information for the Customer, the privacy notice explains the parties’ usual roles. Any separately agreed data-processing terms take priority for that processing.
5. Integrations
Optional third-party integrations are also subject to the third party’s terms. The Customer authorises Annual Leaf to exchange the information needed to provide an enabled integration. We are not responsible for third-party services or changes to their availability.
6. Availability and changes
We aim to keep Annual Leaf available and reliable, but do not promise uninterrupted or error-free operation. We may maintain, update, replace or withdraw features. We will try to give reasonable notice of material changes or planned disruption where practical.
7. Intellectual property
We and our licensors retain all rights in Annual Leaf, including its software, design and branding. These terms give users a limited, non-exclusive, non-transferable right to use the service for the Customer’s internal business purposes while the Customer is authorised to access it.
8. Suspension and ending access
We may suspend access where reasonably necessary to protect the service, comply with law, address non-payment under a separate order, or respond to a serious breach. Either party may end the agreement as set out in any applicable order or written arrangement. When access ends, the Customer should export information it needs before the agreed closure date.
9. Responsibility
Nothing in these terms excludes liability that cannot lawfully be excluded. Subject to that, neither party is responsible for indirect or consequential loss. Any additional limits, service levels, charges, renewal terms and data-export arrangements must be set out in the Customer’s order or other written agreement; that agreement takes priority if it conflicts with these terms.
10. General
The Customer may not transfer this agreement without our written consent, except as part of a genuine reorganisation or sale of its business. A delay in enforcing a right does not waive it. If a term is unenforceable, the remaining terms continue. No one other than the parties has a right to enforce this agreement.
Unless a separate written agreement states otherwise, the laws of England and Wales govern these terms and the courts of England and Wales have exclusive jurisdiction.
11. Changes to these terms
We may update these terms to reflect service, legal or security changes. We will publish the effective date and give reasonable notice of material changes. Continued use after the change takes effect constitutes acceptance where permitted by law.
